These Disclaimer and Terms of Use ("Terms") govern your access to and use of Players Edge – Card Counting (the "App"), developed and published by Zapp Software Solutions LLC ("Company," "we," "us," or "our"), a Maryland limited liability company based in Hanover, Maryland.

Please read these Terms carefully before using the App. By accessing or using the App and affirmatively accepting these Terms where prompted, you agree to be bound by them.

1. Educational and Entertainment Purposes Only

Players Edge is a simulated blackjack training application designed to teach and practice the Hi-Lo card-counting method, blackjack strategy, and related mathematical concepts.

The App is provided exclusively for personal educational and entertainment purposes.

The App does not offer real-money gambling, accept wagers, operate casino gaming, or award monetary prizes. All virtual chips, balances, winnings, losses, and simulated transactions have no actual monetary value and cannot be sold, transferred, exchanged, or redeemed for cash or anything of monetary value.

The App is not intended to facilitate unlawful gambling, cheating, or the unauthorized use of electronic assistance in any casino or gaming establishment.

2. No Guarantee of Gambling Success

CARD COUNTING DOES NOT GUARANTEE WINNINGS OR PROFITS.

Blackjack involves chance, and even mathematically sound decisions may result in substantial financial losses.

The Company makes no representation or guarantee that using the App will improve your real-world gambling results, produce a financial advantage, or prevent losses.

Any educational calculations, training scores, simulations, probabilities, strategy recommendations, or performance statistics provided by the App are illustrative and may not accurately reflect real casino conditions.

Actual casino outcomes may differ because of factors including:

• Differences in table rules, payouts, shoe penetration, and shuffling procedures;
• Random variation and statistical uncertainty;
• Player errors, bankroll limitations, and betting decisions;
• Casino countermeasures and restrictions; and
• Differences between simulated gameplay and real-world conditions.

Past performance, simulated profits, successful training outcomes, or mastery of a counting method do not predict future real-money gambling results.

You acknowledge that any decision to participate in real-world gambling is independent of the App and is made voluntarily and at your sole risk.

3. No Financial, Gambling, or Legal Advice

The information in the App is general educational information, not personalized financial, investment, gambling, or legal advice.

The Company is not a casino operator, licensed financial adviser, or law firm, and does not provide professional gambling, financial, or legal services through the App.

Nothing in the App constitutes a recommendation to gamble, place a wager, increase a bet, visit a casino, or engage in any particular real-world gambling activity.

You should not rely on the App as a substitute for independent judgment or advice from a qualified professional when appropriate.

4. Casino Rules, Removal, and Exclusion

Casinos and gaming establishments generally operate on private property and may exercise lawful rights to control access and participation in their games.

Subject to applicable law, a casino may:

• Refuse or discontinue service;
• Restrict or limit wagering;
• Decline to accept particular bets;
• Ask a player to stop playing blackjack;
• Remove, exclude, trespass, or ban a player; or
• Take other lawful measures in response to suspected card counting or advantage play.

Card counting performed mentally is not, by itself, necessarily a criminal offense. However, casino policies, applicable gaming regulations, and property laws may restrict participation or authorize exclusion.

The Company does not guarantee that using knowledge acquired through the App will be permitted, welcomed, or tolerated by any casino.

You are solely responsible for complying with lawful casino policies and instructions.

To the fullest extent permitted by applicable law, the Company disclaims responsibility for casino refusals of service, betting restrictions, removals, exclusions, bans, trespass actions, or related consequences arising from your independent real-world conduct.

5. Electronic Devices and Casino Laws

DO NOT USE PLAYERS EDGE TO ASSIST WITH LIVE CASINO GAMBLING.

Certain jurisdictions prohibit the use of electronic devices, software, or other equipment to obtain a gambling advantage.

For example, Nevada Revised Statutes § 465.075 prohibits the use, or possession with intent to use, certain devices or software designed to obtain an advantage at covered gaming activities, including devices or software that track cards, analyze game probabilities, or evaluate playing or betting strategies, subject to statutory exceptions.

Other jurisdictions may impose additional or different restrictions. Individual casinos may also prohibit or restrict mobile phones, electronic devices, and software in gaming areas.

The App is intended for training and simulation outside actual casino gameplay.

You agree that you will not:

• Use the App to track cards during live casino play;
• Use the App to calculate or recommend wagers or playing decisions during live casino play;
• Use the App to obtain prohibited electronic assistance;
• Use the App in violation of applicable gambling laws or lawful casino rules; or
• Assist another person in engaging in such prohibited conduct.

You are responsible for determining what laws and restrictions apply in any location where you choose to gamble.

The Company does not authorize, encourage, or endorse unlawful use of the App.

6. Age Restrictions and Legal Compliance

The App is intended for adults aged 18 or older.

You may use the App only if you meet its minimum age requirement and are legally permitted to access its content in your jurisdiction.

An App Store age rating does not establish eligibility to gamble in a real casino.

Legal gambling ages vary by jurisdiction, location, and activity. You are responsible for confirming and complying with the applicable legal gambling age, licensing requirements, casino policies, and local laws before participating in any real-money gambling activity.

The App does not grant any right or authorization to gamble.

7. Responsible Gambling

The Company does not encourage excessive gambling, attempts to recover gambling losses, or treating gambling as a reliable source of income.

Real-money gambling may result in substantial financial losses, debt, stress, and gambling-related harm.

If you choose to participate in legal gambling, you should establish limits and never wager money that you cannot afford to lose.

The App is not a treatment program or a substitute for professional assistance with problem gambling.

8. Assumption of Risk

You acknowledge and voluntarily accept that:

• Card-counting techniques cannot eliminate the risk of real-world gambling losses.
• Real casinos may apply rules and restrictions that differ from those used in the App.
• Casino personnel may limit, exclude, or remove players suspected of advantage play, subject to applicable law.
• Improper use of electronic devices or software while gambling may result in civil, regulatory, or criminal consequences.
• App calculations, training feedback, and simulations may contain errors or inaccuracies.

You accept responsibility for your decisions and conduct outside the App, including any decision to gamble with real money or visit a casino.

To the fullest extent permitted by applicable law, you assume the foreseeable risks arising from your independent real-world gambling activities and decisions, including financial loss, exclusion from a gaming establishment, and legal consequences resulting from your own unlawful conduct.

Nothing in this section excludes liability that cannot lawfully be excluded.

9. Advertising and In-App Purchases

The App is available as a free download and may display advertisements served by third-party advertising providers, including Google AdMob.

The App offers an optional one-time Remove Ads purchase, currently priced at $4.99 USD in the United States. Actual pricing may vary by storefront, currency, taxes, or subsequent price changes.

The Remove Ads purchase disables automatic interstitial advertisements. Optional rewarded advertisements may remain available if a user voluntarily chooses to view them in exchange for in-app virtual benefits.

Virtual chips and other in-app rewards have no real-world monetary value.

In-app purchases, billing, refunds, and restoration of purchases are administered through Apple's App Store and are subject to applicable Apple terms, consumer protection laws, and refund policies.

The App's handling of personal information and advertising-related data is described separately in the Company's Privacy Policy.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL RELATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the extent legally permitted, the Company disclaims implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

The Company does not warrant that:

• The App will be uninterrupted, secure, or error-free;
• All simulations, calculations, and training recommendations will be accurate;
• The App will reflect the rules or conditions of any particular casino;
• Use of the App will produce any specific improvement in ability or performance; or
• Use of the App will prevent gambling losses or other adverse consequences.

Some jurisdictions do not permit certain warranty disclaimers. These disclaimers apply only to the extent permitted by law and do not affect rights that cannot legally be waived.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPP SOFTWARE SOLUTIONS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE APP OR ITS USE.

This includes, to the extent permitted by law, claims involving lost profits, lost opportunities, lost data, interruption of use, simulated or real-world gambling losses, casino exclusions, betting restrictions, or consequences of unauthorized or unlawful use of electronic devices.

To the maximum extent permitted by applicable law, the Company's aggregate liability for claims arising out of or relating to the App shall not exceed the greater of:

(a) the total amount you paid to the Company for the App and its in-app purchases during the twelve months preceding the event giving rise to the claim; or

(b) fifty United States dollars (US $50).

These limitations apply regardless of the legal theory asserted, including contract, tort, or negligence, to the extent permitted by law.

Nothing in these Terms limits or excludes liability for fraud, willful misconduct, gross negligence where such exclusion is prohibited, or any other liability that cannot lawfully be limited or excluded.

Nothing in these Terms diminishes any mandatory consumer rights or remedies available under applicable law.

12. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Zapp Software Solutions LLC and its members, managers, officers, employees, and agents against third-party claims, liabilities, damages, judgments, and reasonable expenses, including attorneys' fees, arising from:

• Your unlawful use of the App;
• Your material violation of these Terms;
• Your infringement of another party's rights; or
• Your intentional or negligent misuse of the App in connection with real-world gambling.

This obligation applies only to the extent the claims arise from your own conduct and does not require you to indemnify the Company for its own wrongdoing where prohibited by law.

13. No Affiliation With Casinos

Players Edge is independently developed and published by Zapp Software Solutions LLC.

The App is not affiliated with, sponsored by, approved by, endorsed by, or operated in partnership with any casino, gaming commission, gambling regulator, or casino operator unless expressly stated otherwise.

References to blackjack, casino rules, strategies, or gaming practices are provided for educational and descriptive purposes.

Any third-party names or trademarks remain the property of their respective owners.

14. App Store License and Third-Party Terms

The App is distributed through Apple's App Store.

Unless a separate, valid end-user license agreement is expressly provided for the App, your license to use the App is governed by Apple's Standard Licensed Application End User License Agreement.

These Terms provide additional disclosures, acceptable-use conditions, and risk-related provisions specific to Players Edge. They are intended to supplement, not contradict, Apple's applicable licensing terms.

If a provision of these Terms conflicts with Apple's applicable Standard EULA, applicable mandatory consumer law, or other controlling requirements, the controlling provision shall govern to the extent of the conflict.

Apple is not responsible for the Company's educational claims, app content, or independently stated training representations.

Nothing in these Terms restricts Apple's obligations or the user's rights under applicable Apple terms or law.

15. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Maryland, United States, without regard to its conflict-of-law principles, except where mandatory laws of another jurisdiction apply.

To the extent permitted by applicable law, disputes arising from these Terms or the use of the App shall be brought before courts of competent jurisdiction located in Maryland.

Nothing in this provision deprives consumers of mandatory legal protections, statutory remedies, or rights to bring proceedings in another jurisdiction where such rights cannot lawfully be waived.

16. Changes to These Terms

The Company may update these Terms to reflect changes in the App, applicable laws, business practices, or legal requirements.

Updated Terms will be published on the Company's website with a revised effective date.

Where required by law, we will provide additional notice or obtain renewed acceptance before material changes take effect.

Changes will apply prospectively to the extent required by applicable law.

If you do not agree to updated Terms, you should discontinue use of the App.

17. Severability and No Waiver

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent legally permitted or severed as necessary, and the remaining provisions shall remain in effect.

The Company's failure to enforce any provision shall not constitute a waiver of its right to enforce that provision later.
